Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Dealer Software Solutions, LLC ("Company," "we," "us," or "our") governing your use of Bridge ("Extension" or "Service").

By installing or using the Extension, you agree to be bound by these Terms. If you do not agree, do not install or use the Extension.

2. Description of Service

CDK Bridge is a Chrome extension that:

  • Captures deal data from Toyota MST Console
  • Transforms data to CDK-compatible format
  • Syncs transformed data to CDK F&I systems via SOAP APIs

The Extension is designed for use by authorized dealership personnel who have legitimate access to both Toyota MST and CDK systems.

3. Eligibility and Authorization

To use the Extension, you must:

  • Be an authorized employee or representative of a Toyota dealership
  • Have legitimate access to Toyota MST Console
  • Have legitimate access to CDK F&I systems
  • Have authorization from your dealership to use the Extension

4. License Grant

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Extension for its intended purpose at your authorized dealership.

5. Acceptable Use

You agree to:

  • Use the Extension only for legitimate dealership business purposes
  • Only sync deals you are authorized to access
  • Maintain the confidentiality of customer data
  • Comply with all applicable laws and regulations
  • Comply with Toyota and CDK terms of service

You agree NOT to:

  • Use the Extension for any unauthorized purpose
  • Attempt to reverse engineer, modify, or create derivative works
  • Share your access with unauthorized individuals
  • Use the Extension at dealerships you are not authorized to represent

6. Third-Party Systems

The Extension integrates with Toyota MST Console and CDK Global systems. Your use of those systems is governed by your separate agreements with Toyota and CDK. We are not responsible for the availability, functionality, or terms of those third-party systems.

7. CDK Certification

The Extension has been certified by CDK Global. This certification confirms the Extension meets CDK's technical and security requirements for API integration. It does not constitute an endorsement by CDK.

8. Data Handling

The Extension processes deal data locally in your browser and transmits it directly to CDK. We do not store customer or deal data on our servers. See our Privacy Policy for more details.

9. Disclaimer of Warranties

THE EXTENSION IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE EXTENSION WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPATIBLE WITH ALL SYSTEMS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE EXTENSION, INCLUDING BUT NOT LIMITED TO DATA LOSS, SYNC ERRORS, OR BUSINESS INTERRUPTION.

11. Indemnification

You agree to indemnify and hold harmless Dealer Software Solutions, LLC from any claims, damages, or expenses arising from your use of the Extension or violation of these Terms.

12. Termination

We may terminate or suspend your access to the Extension at any time, with or without cause. Upon termination, you must uninstall the Extension and cease all use.

13. Updates

We may update the Extension from time to time. Continued use after updates constitutes acceptance of any changes to functionality or these Terms.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes through the Extension or our website.

15. Governing Law

These Terms shall be governed by the laws of the State of California, without regard to conflict of law provisions.
